Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Asta mobile application, our websites, and related services (collectively, the "Service") provided by Sanexus, Inc. ("Sanexus," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

2. Not a Medical Device; Not Emergency Services

Important. Asta is a supportive wellness and care companion. It is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified healthcare provider with questions you have regarding a medical condition. If you are experiencing a medical emergency, call 911 or your local emergency number. For mental-health crises, contact the 988 Suicide & Crisis Lifeline by calling or texting 988, or text HOME to the Crisis Text Line at 741741.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@sanexus.ai of any unauthorized use.

4. Acceptable Use

You agree not to:

Use the Service in any unlawful manner or for any unlawful purpose.
Interfere with or attempt to compromise the security, integrity, or availability of the Service.
Reverse engineer, decompile, or attempt to extract the source code of the Service except as permitted by law.
Use the Service to harass, harm, or impersonate another person.
Submit content that infringes any third-party rights or violates any law.

5. Content and Conversations

You retain ownership of the content you submit. You grant Sanexus a worldwide, non-exclusive license to host, store, process, and use that content as needed to provide the Service to you and to improve the Service in a manner consistent with our Privacy Policy.

6. Health Information and EHR Connections

If you connect Asta to your electronic health record (such as via Epic's MyChart), you authorize Sanexus to retrieve and process the data within the scopes you approve. You may revoke this authorization at any time through your EHR portal or by contacting us. Asta does not modify your EHR records.

7. Intellectual Property

The Service, including all software, content, designs, and trademarks, is owned by Sanexus or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

8. Subscription and Fees

Where the Service is offered for a fee, applicable charges and billing terms will be disclosed at the time of purchase. We may change pricing on prospective billing periods with reasonable notice.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access to the Service if we believe you have violated these Terms, with notice where practicable.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SANEXUS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SANEXUS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to the Service or these Terms will be resolved in the state or federal courts located in New York County, New York, unless required otherwise by applicable law.

13. Changes to These Terms

We may update these Terms from time to time. The "Effective" date above reflects the most recent revision. Material changes will be communicated through the Service or by email. Continued use of the Service after changes constitutes acceptance.
